These Terms of Service ("Terms") govern your use of the website and professional services provided by Ontario Tax Team ("we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
1. Services Description
Ontario Tax Team provides professional bookkeeping, tax preparation, accounting, payroll, HST filing, and tax planning services to individuals and businesses. Our services include but are not limited to:
- Monthly and annual bookkeeping and financial record maintenance
- Personal (T1) and corporate (T2) tax return preparation and filing
- Financial statement preparation and notice to reader engagements
- Payroll processing, CRA remittances, T4 and ROE preparation
- HST return preparation and filing
- Tax planning and advisory services
The specific scope of services for each client will be outlined in a separate engagement letter or service agreement.
2. Client Responsibilities
As a client of Ontario Tax Team, you agree to:
- Provide accurate, complete, and timely information and documentation required for the performance of our services
- Respond promptly to our requests for information or clarification
- Inform us of any changes to your financial situation, business structure, or personal information that may affect our services
- Review all completed work, returns, and reports for accuracy before filing or submission
- Maintain your own copies of all source documents and records
- Comply with all applicable tax laws and regulations
You acknowledge that the accuracy of our work depends on the completeness and accuracy of the information you provide. We are not responsible for errors or penalties resulting from incomplete, inaccurate, or late information provided by you.
3. Payment Terms
Payment terms are as follows:
- Fees for our services will be communicated in advance via a quote or engagement letter
- Invoices are due and payable within thirty (30) days of the invoice date unless otherwise agreed in writing
- We accept payment by cheque, e-transfer, credit card, or pre-authorized debit
- Late payments may be subject to interest charges at a rate of 1.5% per month (18% per annum) on outstanding balances
- We reserve the right to suspend or discontinue services for accounts with outstanding balances exceeding sixty (60) days
All quoted fees are in Canadian dollars and are exclusive of applicable taxes (HST) unless otherwise stated.
4. Limitation of Liability
To the fullest extent permitted by law:
- Ontario Tax Team shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to our services
- Our total liability for any claim arising out of our services shall not exceed the total fees paid by you for the specific service giving rise to the claim
- We are not liable for penalties, interest, or additional taxes assessed by the CRA or any other tax authority that result from information you provided or failed to provide
- We are not responsible for the actions, decisions, or policies of the CRA or any other governmental authority
This limitation of liability applies regardless of the cause of action, whether in contract, tort, negligence, strict liability, or otherwise.
5. Intellectual Property
All content on the Ontario Tax Team website, including text, graphics, logos, images, and software, is the property of Ontario Tax Team or its content suppliers and is protected by Canadian and international copyright laws. You may not reproduce, distribute, modify, or create derivative works from any content on this website without our prior written consent. Templates, spreadsheets, and tools provided as part of our services are licensed for your personal or business use only and may not be redistributed or resold.
6. Confidentiality
We treat all client information as strictly confidential. We will not disclose your personal or financial information to any third party without your consent, except as required by law, regulatory requirements, or professional standards. Our confidentiality obligations survive the termination of our professional relationship.
7. Termination
Either party may terminate the service relationship at any time by providing written notice. Upon termination:
- You are responsible for payment of all fees for services rendered up to the date of termination
- We will return all original client documents and records within a reasonable timeframe
- We may retain copies of work papers and documents as required by professional standards and regulatory requirements
- Provisions regarding confidentiality, limitation of liability, and governing law shall survive termination
8. Website Use
When using our website, you agree not to:
- Use the website for any unlawful purpose
- Attempt to gain unauthorized access to any portion of the website or its systems
- Interfere with the proper functioning of the website
- Use any automated means to access or collect data from the website

9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario. The parties agree to attempt to resolve any disputes through good-faith negotiation before resorting to litigation.

We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of our website or services after changes are posted constitutes your acceptance of the revised Terms.
